Collective Acquisition Corp. II priced a $220 million IPO on April 28, 2026, listing 22 million units on Nasdaq under the ticker CAIIU; each unit comprises one Class A ordinary share and half a redeemable warrant (whole warrants exercisable at $11.50), and the offering includes a 45‑day over‑allotment option for up to 3.3 million units. The SPAC intends to target businesses whose products or services impact the sovereignty, security, self‑sufficiency, or other national interests of the United States and/or its allies, including in the financial, strategic resources, defense technology, or artificial intelligence sectors.

Leadership:

  • Daniel Hoffman (CEO, Director): founder and CEO of The Monday Group since May 2023, former Managing Director at Cerberus Capital managing residential real estate funds, and prior head of U.S. securitized products at RBC and senior managing director at Bear Stearns.
  • James Shekerdemian (Director): former Chief Revenue Officer of Level E Research and former Managing Director at Maybank Securities, previously held multiple regional head roles in prime brokerage and hedge fund sales at Société Générale and Bear Stearns.
  • Matthew Burns (Director): former U.S. Navy Rear Admiral and Commander of DEVGRU, past director of operations at Joint Special Operations Command and Joint Task Force Commander at SOCOM, retired from the Navy in 2025.
  • Samuel Sayegh (CFO, Director): co‑founder of UNCAP Investment Management LLC, partner at Collective Capital Management LLC, former board member and CFO of SPARK Neuro’s defense/intelligence unit, with prior SPAC board service on Inflection Point Acquisition II.
  • Francis M Beaudette (Director)

Structure: 22 million units at $10.00, each unit = one Class A share + one‑half warrant (whole warrant exercisable at $11.50); Clear Street LLC as sole book‑running manager.
